Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "User", "you") and MusicOne Global Ltd. ("MusicOne", "Company", "we", "us", or "our"), a company registered in England and Wales with its registered office at 113 Woolwich High Street, London, SE18 6DN, United Kingdom.

By creating an account or accessing the MusicOne platform, you agree to be bound by these Terms in full. If you do not agree, do not use the Service.

1. Definitions

"Service" refers to the MusicOne software platform, including its music scheduling tools, database services, metadata management, cloud hosting, API, web dashboard, desktop applications, and any related services provided by MusicOne.

"Content" refers to any music files, metadata, schedules, broadcast logs, configurations, and other data uploaded or created by the Customer through the Service.

2. Grant of licence

MusicOne grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Service solely for your internal business purposes related to radio broadcasting, music scheduling, content management, and media operations.

This licence does not extend to any right to sublicense, resell, redistribute, or make the Service available to third parties. You may not use the Service on behalf of another entity unless expressly authorised in writing by MusicOne.

3. Service provision

MusicOne provides hosted access to the Service via cloud infrastructure on a software-as-a-service (SaaS) basis. We may update, enhance, modify, or discontinue features at any time. We will use commercially reasonable efforts to notify you of material changes in advance.

While we strive for high availability, the Service is provided on an "as available" basis. We do not guarantee uninterrupted or error-free operation. Planned maintenance windows will be communicated where practicable.

4. Account and access

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.

You must notify us immediately if you become aware of any unauthorised use of your account. MusicOne is not liable for losses arising from unauthorised access where reasonable security measures were in place.

5. Customer responsibilities

When using MusicOne for radio scheduling and music management, you are solely responsible for:

  • Obtaining and maintaining all necessary music licences, performing rights clearances, and mechanical rights for any content used through the Service
  • Accurate royalty reporting to relevant collection societies (e.g., PRS, PPL, ASCAP, BMI, SOCAN)
  • Ensuring the accuracy of metadata associated with uploaded content
  • Compliance with all applicable broadcasting regulations, including those set by Ofcom, the FCC, or equivalent local authorities
  • Ensuring that any content uploaded does not infringe third-party intellectual property rights

MusicOne does not verify, audit, or assume responsibility for the licensing status of any content within the Service.

6. Content and data rights

You retain full ownership of all Content you upload, create, or generate through the Service. MusicOne does not claim any ownership interest in your Content.

By using the Service, you grant MusicOne a worldwide, royalty-free, non-exclusive licence to host, process, store, transmit, cache, and display your Content solely as necessary to provide, maintain, and improve the Service. This licence terminates when your Content is deleted from the platform.

7. Data protection and GDPR

MusicOne processes personal data in accordance with the UK General Data Protection Regulation (UK GDPR), the EU General Data Protection Regulation (EU GDPR), and the Data Protection Act 2018.

  • Where MusicOne processes personal data on your behalf, MusicOne acts as Data Processor and you act as Data Controller
  • MusicOne implements appropriate technical and organisational security measures, including encryption, access controls, and incident response procedures
  • A separate Data Processing Agreement (DPA) is available upon request for customers who require one

8. Fees and subscription

Access to the Service requires a paid subscription. You agree to pay all applicable fees as set out at the time of purchase or renewal. All fees are quoted exclusive of applicable taxes unless stated otherwise.

  • Subscriptions renew automatically at the end of each billing cycle unless cancelled before the renewal date
  • Non-payment may result in suspension or termination of access to the Service
  • Fees are non-refundable except where required by applicable law or as expressly stated in a separate agreement
  • MusicOne reserves the right to change pricing with at least 30 days' prior notice before your next billing cycle

Payment processing is handled by Stripe. By subscribing, you also agree to Stripe's Terms of Service.

9. Intellectual property

All software, source code, algorithms, user interfaces, databases, documentation, trademarks, logos, and branding associated with MusicOne are and remain the exclusive property of MusicOne Global Ltd. Nothing in these Terms grants you any right, title, or interest in our intellectual property beyond the limited licence in Section 2.

You shall not:

  • Reverse engineer, decompile, or disassemble any part of the Service
  • Copy, modify, or create derivative works based on the Service
  • Distribute, resell, lease, or sublicense access to the Service
  • Remove or alter any proprietary notices, labels, or markings

10. Acceptable use

You agree not to use the Service to:

  • Upload or distribute content that is unlawful, infringing, defamatory, or harmful
  • Attempt to gain unauthorised access to the Service or its infrastructure
  • Interfere with or disrupt the integrity or performance of the Service
  • Use the Service for any purpose other than its intended radio and media management functions
  • Circumvent usage limits, access controls, or security measures

MusicOne reserves the right to suspend or terminate accounts that violate this section without prior notice.

11. Support and maintenance

MusicOne may provide technical support, bug fixes, and feature updates at its discretion. Support is available via email and through the platform.

No guaranteed uptime, response time, or service level applies unless specified in a separate Service Level Agreement (SLA). Enterprise customers may negotiate custom SLA terms.

12. Limitation of liability

To the fullest extent permitted by applicable law, MusicOne shall not be liable for any:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, or anticipated savings
  • Loss of broadcast revenue or airtime
  • Loss of data or Content
  • Business interruption or loss of goodwill

MusicOne's total aggregate liability under these Terms shall not exceed the total fees paid by the Customer in the twelve (12) months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded or limited under applicable law.

13. Indemnification

You agree to indemnify, defend, and hold harmless MusicOne Global Ltd., its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:

  • Your breach of these Terms
  • Copyright or intellectual property infringement related to your Content
  • Violation of broadcasting regulations or licensing requirements
  • Misuse of the Service or unauthorised content uploads
  • Any third-party claim arising from your use of the Service

14. Termination

By the Customer

You may cancel your subscription at any time through the platform. Cancellation takes effect at the end of the current billing cycle. You will retain access to the Service until then.

By MusicOne

MusicOne may suspend or terminate your access immediately and without prior notice if you breach these Terms, pose a security risk, or if required by law. We may also terminate with 30 days' notice for any reason.

Effect of termination

Upon termination, your right to access the Service ceases immediately. You may request export of your Content within 30 days of termination. After this period, MusicOne may permanently delete your data.

15. Changes to these Terms

MusicOne reserves the right to modify these Terms at any time. We will notify you of material changes via email or through a notice on the platform at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

If you do not agree with the revised Terms, you may terminate your account before they take effect.

16. General provisions

  • Entire agreement — these Terms, together with the Privacy Policy and any applicable DPA or SLA, constitute the entire agreement between you and MusicOne.
  • Severability — if any provision is found to be unenforceable, the remaining provisions continue in full force and effect.
  • Waiver — failure to enforce any provision does not constitute a waiver of that provision.
  • Assignment — you may not assign your rights under these Terms without our written consent. MusicOne may assign its rights in connection with a merger, acquisition, or sale of assets.
  • Force majeure — MusicOne shall not be liable for failure to perform due to circumstances beyond its reasonable control, including natural disasters, war, pandemics, or infrastructure outages.

17. Governing law and jurisdiction

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
